These comprehensive Terms of Use ("Terms") form a legally binding contract between you ("User," "you," or "your") and LearningKnight ("LearningKnight," "we," "us," or "our"). They govern all aspects of your access to, interaction with, and use of our website (learningknight.com), online platforms, services, training programs, downloadable learning resources (videos, cheat sheets, printable documents, practice materials), classroom-based and virtual training sessions, 100% job placement assistance services, customized corporate programs, and any related offerings or features ("Services").

By visiting our website, creating an account, clicking "Enroll Now" or any equivalent button, submitting payment, attending sessions, or otherwise using any Services, you affirm that you are at least 18 years of age (or have obtained verifiable parental/guardian consent if under 18, in full compliance with India's Digital Personal Data Protection Act, 2023 ("DPDP Act") and Rules 2025), have the legal capacity to enter this agreement, and unconditionally accept these Terms, our Privacy Policy (incorporated by reference), and any supplemental enrollment agreements or program-specific terms. If you are entering on behalf of an organization, you represent that you have authority to bind it.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with the updated "Last Updated" date. It is your responsibility to review them periodically. Continued use of the Services after changes constitutes your binding acceptance. If you do not agree to any modifications, you must immediately cease all use of the Services. Certain programs may have additional terms posted on their respective pages.

1. Eligibility Requirements and User Accounts

To use our Services, you must meet these criteria:

  • Age Requirement: Be 18 years or older, or if under 18, provide verifiable parental/guardian consent (including signed forms and ID verification) before enrollment, as required for handling minors' data under DPDP Act Section 9.
  • Legal Capacity: Not be barred from using the Services under applicable laws or prior violations.
  • Accurate Information: Provide truthful, complete, and current details during registration (e.g., name, email, phone, address, organization). You are responsible for updating this information promptly.

Account Creation and Security:

  • Accounts are required for enrollment, resource access, and job assistance. You must safeguard your login credentials (username, password) and not share them.
  • We may use third-party authentication (e.g., Google login) subject to their terms.
  • You agree to notify us immediately of any unauthorized access at info@learningknight.com.
  • We reserve the right to monitor accounts, suspend, restrict, or terminate them without notice or liability for violations, inactivity (e.g., 12 months), suspected fraud, non-payment, or security risks. Upon termination, all access ceases, and no refunds are issued unless specified in Section 3.

Corporate accounts require a separate master services agreement.

2. Detailed Description of Services and Programs

LearningKnight pioneers industry-leading training designed by experts with decades of experience in digital education, animation, visual effects, film, gaming, and immersive media. Our Services position global aspirants for success in competitive MNCs by providing cutting-edge skills.

Core Offerings:

  • Learning Design Courses: Comprehensive modules on modern digital education design, e-learning platforms, instructional strategies, compliance, and ed-tech tools.
  • Media Design Courses: Advanced training in animation, visual effects (VFX), motion graphics, immersive media (AR/VR), gaming assets, and film production techniques.
  • Crash Courses: Intensive, combined Learning Design + Media Design programs for rapid skill acquisition.
  • Delivery Formats:
    • Face-to-face classroom sessions
    • Virtual/online live sessions via secure platforms (e.g., Zoom integration with recording access).
    • Hybrid options for global participants.
  • Exclusive Resources: Downloadable videos, printable documents, cheat sheets, practice files, templates, and assessments—provided solely to enrolled participants for personal educational use during the program duration. These are proprietary and watermarked.
  • Placement Assistance: Non-guaranteed support including:
    • Personalized portfolio development and work sample creation.
    • Mock interviews, resume optimization, and skill-matching for L&D, animation, VFX, and ed-tech roles.
    • Direct introductions to partner employers (MNCs in ed-tech, film, gaming).
    • Ongoing support until placement (up to 6-12 months post-program). Outcomes depend on your performance, market conditions, and no employment is guaranteed.
  • Customized Programs: Bespoke courses for individuals or organizations (e.g., corporate upskilling) at negotiated special pricing, governed by separate written contracts.

Important Disclaimers on Services:

  • Programs supplement formal education; no guarantees of degrees, certifications, exam success, or job offers.
  • Schedules, curricula, instructors, or resources may change with reasonable notice via email.
  • Virtual sessions require stable internet; we are not liable for connectivity issues.
  • Access to resources expires at program end unless renewed.

3. Enrollment Process, Fees, Payments, and Refund Policy

Enrollment: Binding upon full payment and confirmation email. Partial enrollments (e.g., trial modules) may be available at our discretion.

Fees and Payments:

  • All fees (quoted on program pages) exclude applicable taxes/GST (18% standard).
  • Payable upfront via secure third-party gateways (e.g., Razorpay, PayU—PCI-DSS compliant). LearningKnight does not store card details.
  • Installment plans require credit approval and signed agreements; default incurs 1.5% monthly interest.
  • Discounts/promos are non-combinable and expire as stated.

Refunds via original payment method. All disputes subject to arbitration (Section 10). No cash refunds.

4. Intellectual Property Ownership and Limited Licenses

Our IP: All content—including course videos, materials, cheat sheets, software tools, designs, trademarks ("LearningKnight" logo), website code, and databases—is our exclusive property or licensed from third parties, protected under India's Copyright Act, 1957, Trademarks Act, 1999, and international laws.

Your Limited License: Upon enrollment and payment, you receive a revocable, non-exclusive, non-transferable, non-sublicensable license to access and use resources solely for personal, non-commercial educational purposes during the program term. This license terminates upon completion, cancellation, or breach.

Prohibited Actions:

  • Copying, reproducing, modifying, adapting, translating, reverse-engineering, decompiling, or creating derivative works.
  • Distributing, selling, leasing, or publicly displaying/sharing resources (e.g., via social media, torrents).
  • Removing watermarks, copyrights, or proprietary notices.
  • Using for commercial training or competing services.

Your User Content: Any feedback, reviews, portfolios, assignments, or submissions you provide grants us a perpetual, irrevocable, worldwide, royalty-free, fully-paid license to use, modify, reproduce, distribute, and display it (anonymized where possible) for marketing, testimonials, or program improvement. You retain ownership but waive moral rights.

Enforcement: IP violations result in immediate termination, resource revocation, damages as determined by applicable law, and legal action. We may report to authorities. Portfolios co-created with our guidance may be showcased on our site/portfolio page with your prior consent.

5. Acceptable User Conduct and Prohibited Activities

You agree to use the Services responsibly:

  • Permitted: Attending sessions, submitting assignments, participating in job assistance, providing constructive feedback.
  • Respect Others: No harassment, bullying, discrimination (based on gender, caste, religion, etc.), or disruption of classes.

Strictly Prohibited (resulting in immediate suspension/termination without refund):

  • Illegal activities (e.g., fraud, piracy, hacking under IT Act, 2000).
  • Unauthorized access, malware, DDoS attacks, or scraping content.
  • Spam, phishing, commercial ads, or soliciting participants.
  • Recording/uploading live sessions without explicit instructor permission.
  • Impersonating others or posting false reviews.
  • Violating third-party rights (IP, privacy, publicity).
  • Excessive bandwidth use disrupts services.

We may remove content, ban users, and cooperate with law enforcement. Repeated violations lead to permanent blacklisting.

6. Disclaimers of Warranties and Limitation of Liability

AS IS BASIS: Services, website, and resources are provided "AS IS" and "AS AVAILABLE" without warranties of any kind—express, implied, statutory, or otherwise—including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted availability.

No Guarantees:

  • No assurance of job placement, skill proficiency, industry trends, exam passes, or career success.
  • Virtual platforms may have glitches; user devices/internet not our responsibility.
  • Third-party links/resources (e.g., tools in courses) are at your risk.

Limitation of Liability:

  • To the fullest extent permitted by law, our total aggregate liability (in contract, tort, negligence, or otherwise) shall not exceed the fees you paid us in the 12 months prior to the claim.
  • No liability for indirect, incidental, consequential, special, or punitive damages—including lost profits, data loss, career opportunities, business interruption, or emotional distress.
  • Force Majeure: We are excused from performance for uncontrollable events like natural disasters, wars, pandemics (e.g., COVID-19), government regulations, strikes, server failures, or cyber-attacks.

7. Termination, Suspension, and Survival

Termination Rights:

  • By You: Cease use anytime; contact us to close accounts. Payments and confidentiality obligations survive.
  • By Us: Immediate suspension/termination for any breach, non-payment, legal violations, or at our sole discretion, with or without notice. No refunds post-suspension.

Effects of Termination: Immediate revocation of licenses/access; you must delete all resources. Clauses on IP (4), Liability (6), Indemnity (9), Governing Law (10), and Miscellaneous (11) survive indefinitely.

8. Third-Party Links, Services, and Integrations

Our site may link to external sites, tools (e.g., Google Analytics, payment gateways, video hosts like Vimeo), or employer partners. We do not control, endorse, or assume liability for them—their terms/privacy policies apply. Use at your own risk.

9. Indemnification

You agree to defend, indemnify, and hold harmless LearningKnight, its officers, directors, employees, affiliates, and partners from all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

  • Your use/misuse of Services.
  • Violations of these Terms or laws.
  • Your user content or interactions with others.
  • Infringement of third-party rights.

10. Governing Law, Dispute Resolution, and Arbitration

Governing Law: Exclusively Indian law applies, without regard to conflict of laws principles.

Dispute Resolution Process:

  1. Informal Negotiation: Contact Grievance Officer at info@learningknight.com within 30 days of issue. Response within 72 hours; good-faith resolution aimed.
  2. Arbitration: Unresolved disputes submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. Judgment on award enforceable in courts.
  3. No Class Actions: Disputes must be individual; no joinder or consolidation.
  4. Jurisdiction: ROC courts have exclusive jurisdiction for injunctive relief or non-arbitrable matters.

11. Miscellaneous Provisions

  • Severability: If any provision is held invalid, the remainder remains enforceable.
  • No Waiver: Our failure to enforce any right does not waive it.
  • Assignment: We may assign these Terms; you may not without our written consent.
  • Entire Agreement: These Terms, Privacy Policy, and enrollment forms constitute the full agreement, superseding prior discussions.
  • Export Controls: Services comply with Indian export laws; you assume compliance responsibility.
